Vyrna is a nutrition companion. It is not a doctor, a pharmacist, or a substitute for one. The information and estimates we provide are for your education and self-tracking only. Decisions about your health, your medication, and your dose are decisions you make with a qualified clinician — not with us.
These Terms create a binding contract between you and MGA Companies Pty Ltd (trading as Vyrna). If you don’t agree to them, please don’t use the Service.
1. About these Terms
These Terms of Service (“Terms”) govern your use of the Vyrna mobile application, the website at vyrnahealth.com, and any related services (together, the “Service”). The Service is provided by MGA Companies Pty Ltd, an Australian proprietary company trading as Vyrna (“Vyrna”, “we”, “us”). Our company details are on the public Australian Business Register at abr.business.gov.au.
By installing, accessing, or using the Service, you (“you”) agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract under the laws of your country of residence to use the Service. By using the Service, you represent that you are at least 18 and that you are using the Service for personal, non-commercial purposes.
3. What Vyrna is — and what it isn’t
Vyrna is a nutrition companion designed for women using GLP-1 receptor agonist medication during peri- or post-menopause. The Service can:
- Suggest a personalised daily protein target based on information you provide;
- Estimate the protein and calorie content of food you photograph;
- Track body measurements and show trends over time;
- Provide editorial articles about nutrition, menopause, and GLP-1 medication.
The Service is not:
- A medical device, a digital therapeutic, or a regulated health product. We are not entered on the Australian Register of Therapeutic Goods (ARTG), and we do not hold UK MHRA, EU MDR, or US FDA clearance. We do not represent that the Service has any regulatory status as a therapeutic good or medical device.
- A substitute for advice from your GP, your prescriber, your pharmacist, your dietitian, or any other qualified healthcare professional.
- A diagnostic tool. The Service does not diagnose, treat, cure, prevent, monitor, or predict any medical condition.
- A pharmacy or a source of medication. We do not supply, prescribe, dispense, or recommend GLP-1 medications, HRT, or any other drug.
- A dose-adjustment tool. The Service will never tell you to start, stop, change, or skip a dose of any medication.
- An emergency service. If you are experiencing a medical emergency, call your local emergency number (000 in Australia, 111 in New Zealand, 999 in the UK, 112 in the EU, 911 in the US).
Important medical disclaimer
The information, estimates, plans, and content provided by Vyrna are for general informational and self-tracking purposes only. They do not constitute medical advice, diagnosis, treatment, or recommendation, and they are not a substitute for the advice of a qualified healthcare professional who knows your full medical history.
Always consult your doctor, prescriber, or pharmacist before changing your diet, your medication, your dose, your supplement regimen, or your exercise routine — especially while taking GLP-1 medication, HRT, or any other prescription drug.
Never disregard professional medical advice or delay seeking it because of something you read or saw in Vyrna. Your reliance on any information provided by the Service is solely at your own risk.
4. Health representations and warnings
By using the Service, you represent and confirm that:
- You are not pregnant, trying to become pregnant, or breastfeeding. GLP-1 medications are generally contraindicated in these circumstances. Vyrna is not designed for, and you should not use it during, pregnancy or breastfeeding. If your circumstances change, stop using the Service and consult your prescriber immediately.
- You are using GLP-1 medication, HRT, or any other prescription drug only as prescribed by a licensed clinician who is aware of your full medical history.
- You do not have, and have not been told you have, an active eating disorder. Vyrna’s targets, food logging, and body composition tracking are not appropriate for the management of eating disorders. If you have a current or past eating disorder, please consult a clinician who specialises in eating disorders before using the Service.
- You do not have any condition that would make tracking food, weight, or body measurements harmful to you.
- You will tell your clinician that you are using Vyrna if asked.
If any of these representations stops being true, you must stop using the Service and may delete your account from Settings.
5. Drug names & trademarks
The Service refers to GLP-1 medications including the active ingredients semaglutide and tirzepatide, and may refer to brand names including Ozempic®, Wegovy®, Rybelsus®, Mounjaro®, and Zepbound®. These names are registered trademarks of their respective owners (Novo Nordisk A/S and Eli Lilly and Company). Vyrna is not affiliated with, endorsed by, sponsored by, or otherwise associated with any pharmaceutical company. We refer to these names solely for the descriptive purpose of personalising your nutrition plan to the medication you have told us you are taking.
6. Your account
You are responsible for keeping your sign-in credentials (whether through Sign in with Apple, Sign in with Google, or another method we offer) secure, and for everything that happens under your account. Tell us promptly at support@vyrnahealth.com if you believe your account has been compromised. We may suspend or terminate accounts that we reasonably believe are being used in breach of these Terms.
7. Subscriptions, the free trial, and refunds
7.1 Free vs. Pro
Vyrna offers a free tier and a paid tier (“Vyrna Pro”). The features included in each tier are described inside the app and may change from time to time at our reasonable discretion. We will give you reasonable notice of material changes affecting paying subscribers.
7.2 Free trial
When you start a Vyrna Pro subscription, you may be eligible for a 7 days free trial (one trial per Apple ID). At the end of the trial, your subscription will automatically convert to a paid subscription at the price displayed in the app at the time you signed up (currently US$9.99 per month, or local equivalent), unless you cancel before the trial ends.
7.3 Auto-renewal
Vyrna Pro is an auto-renewing subscription billed through your Apple ID. Each subscription period renews automatically at the same price unless you cancel at least 24 hours before the end of the current period. Apple will charge your Apple ID account at confirmation of purchase and at the start of each renewal.
7.4 Cancelling and managing your subscription
You can cancel your subscription at any time from the iPhone Settings → Apple ID → Subscriptions menu, or by following the in-app link in Settings → Manage subscription. Cancellation takes effect at the end of the current billing period; you keep Pro access until then. Uninstalling the app does not cancel your subscription.
7.5 Refunds
All payments for the Service are processed by Apple under the terms of the Apple Media Services Terms and Conditions. Refunds are issued by Apple at Apple’s sole discretion. To request a refund, visit reportaproblem.apple.com.
Australian Consumer Law (ACL) consumer guarantees. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. If a consumer guarantee under the ACL applies and you are entitled to a remedy that cannot be limited, you are entitled to that remedy.
UK and EU consumer cancellation rights. If you live in the UK or EEA, you normally have a 14-day right to cancel a distance contract for digital content under the UK Consumer Contracts Regulations 2013 and the EU Consumer Rights Directive. By starting to use Vyrna Pro (including by activating a free trial that converts to a paid subscription) you expressly request that we begin supply during the cancellation period and acknowledge that, once supply has begun, you will lose the statutory right to cancel for a refund. Where a non-waivable statutory right to a refund exists in your jurisdiction, this clause does not affect that right.
7.6 Price changes
We may change subscription prices from time to time. Where required by law, we will give you at least 30 days’ notice and your express consent before any price increase takes effect for an existing subscription. If you do not consent, your subscription will not renew at the new price.
8. Acceptable use
You agree not to:
- Use the Service in any way that breaks the law, infringes anyone’s rights, or harms anyone;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except where this restriction is prohibited by applicable law;
- Bypass, disable, or interfere with security, rate-limiting, or paywall features;
- Resell, sublicense, redistribute, or commercially exploit the Service or any of its content;
- Use the Service to create a competing product, dataset, or model, including by scraping, automated extraction, or training of machine learning systems on any output of the Service;
- Submit content that is unlawful, defamatory, harassing, or that infringes intellectual property or privacy rights;
- Use the Service to provide medical, dietetic, pharmacy, or other regulated services to third parties.
9. Your content
You retain ownership of the photos, measurements, notes, and other content you submit to the Service (“Your Content”). You grant Vyrna a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and analyse Your Content solely as necessary to provide and improve the Service for you. We will never use Your Content to train third-party AI models or sell it to third parties.
You are solely responsible for Your Content and for ensuring that you have the rights to submit it.
10. Our content and intellectual property
The Service, the Vyrna name and logo, the editorial articles in the Learn library, the personalisation algorithms, and all related software, designs, and trademarks are owned by Vyrna or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms. No other rights are granted.
11. Third-party services
The Service relies on, integrates with, or links to third-party services (including Apple, Google, Supabase, PostHog, Singular, Superwall, and AI vision and language model providers). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability or content of third-party services.
12. Updates and availability
We may update, modify, or discontinue the Service or any feature at any time, including for maintenance, security, or improvement. Where a change materially reduces functionality you have paid for, we will give you reasonable notice and, where appropriate, a pro-rated refund of pre-paid fees for the affected period. We do not guarantee that the Service will be uninterrupted, error-free, or available in your jurisdiction.
13. Termination
You may stop using the Service at any time and delete your account from Settings. We may suspend or terminate your access to the Service immediately if you breach these Terms or if we are required to do so by law. On termination, your licence to use the Service ends. Sections 3, 4, 5, 9, 10, 14, 15, 16, 17, 19, and 21 survive termination.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. Without limiting the foregoing, we expressly disclaim all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and quiet enjoyment.
We do not warrant that any estimate, plan, target, verdict, article, or other content provided by the Service is accurate, complete, current, or appropriate for your individual circumstances.
Nothing in this Section 14 limits or excludes any liability that cannot be limited or excluded under the law of your country of residence — including, in Australia, the consumer guarantees under the Australian Consumer Law (sections 51–62 of Schedule 2 of the Competition and Consumer Act 2010 (Cth)); in the United Kingdom, liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation; and any other liability that cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by law:
- Vyrna will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, however caused, even if we have been advised of the possibility of such damages.
- Vyrna’s total aggregate liability to you for all claims arising out of or relating to the Service, whether in contract, tort (including negligence), or otherwise, is limited to the greater of (a) the total fees you paid to us for the Service in the 12 months immediately preceding the event giving rise to the claim, and (b) US$9.99.
Statutory rights are preserved. Nothing in these Terms excludes or limits Vyrna’s liability for: (i) the consumer guarantees in the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)) that cannot be excluded for consumer goods or services; (ii) death or personal injury caused by our negligence; (iii) fraud or fraudulent misrepresentation; (iv) breach of any other statutory consumer rights that cannot be excluded under the laws of your country of residence (including, in the UK, the Consumer Rights Act 2015); or (v) any other liability that cannot lawfully be excluded or limited.
16. Indemnity
You agree to defend, indemnify, and hold harmless Vyrna and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Content; (b) your use of the Service in breach of these Terms or any applicable law; (c) your representations under Section 4; or (d) your infringement of any third-party right.
17. Governing law and jurisdiction
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation are governed by and construed in accordance with the laws of Queensland, Australia.
The courts of Queensland, Australia have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. This does not affect any non-waivable right you have, as a consumer, to bring proceedings in the courts of your country of residence, or to rely on the mandatory consumer-protection laws of your country of residence.
18. Apple-specific terms
You acknowledge that these Terms are between you and Vyrna, and not with Apple Inc. (“Apple”). Apple is not responsible for the Service or its content. To the extent these Terms provide for usage rules that conflict with the Apple Media Services Terms and Conditions or the Usage Rules of the App Store, the Apple terms govern. Apple has no obligation to provide maintenance or support for the Service. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by applicable law, Apple has no other warranty obligation. Apple is not responsible for addressing any claims by you or any third party relating to the Service or your use of it. You must comply with applicable third-party terms when using the Service. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
19. Changes to these Terms
We may update these Terms from time to time. The “Effective” date at the top reflects the most recent version. If we make material changes, we will notify you in-app or by email at least 30 days before they take effect. Your continued use of the Service after the effective date of the new Terms constitutes acceptance. If you do not agree, you must stop using the Service and may cancel your subscription as described in Section 7.
20. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Vyrna and supersede any prior agreement on the same subject.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Severability. If any provision is found unenforceable, the rest of these Terms remain in force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- Assignment. You may not assign these Terms. We may assign them as part of a merger, acquisition, or sale of assets, on notice to you.
- No third-party rights. Except for Apple under Section 18, no person other than you and Vyrna has any rights to enforce any term of these Terms.
- Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.
